CHALLENGE IRWIN 2011 FEATURING THE ULTIMATE TRADESMAN CHALLENGE

ENTRIES: To enter, attend and participate in a Challenge IRWIN event hosted and sponsored by Irwin Industrial Tool Company Limited (“Sponsor”). There will be a maximum of 75 UTC Events days throughout the UK, Northern Ireland and Republic of Ireland between 01st March 2011 and 31st December 2011.

ELIGIBILITY: Entrant must be 18 years or older on the date of entry and a legal resident in the UK/Ireland. Employees of Sponsor, and its parent, affiliates, and subsidiary companies, sales representatives, distributors, advertising, promotion and other vendor agencies involved in the Challenge IRWIN: Ultimate Tradesman Challenge Event (“UTC Event”), and participating stores, and the immediate family members (spouse, child, sibling, parent and their respective spouses, regardless of where the reside) and those living in the same household of all such employees, whether related or not, are NOT eligible. Former Grand Prize winners of previous year UTC Event (2010) may not participate in UTC Event. UTC Event is subject to all applicable laws and regulations. 2011 Heat winners can only win one heat but can participate in other heats but wave the right to win the heat as they have already qualified for the final.

HOW TO ENTER: To enter, attend and participate in a Local Challenge IRWIN: UTC Event hosted and sponsored by Sponsor. Each Local UTC Event will consist of a number of timed skill contests which will involve completing designated tasks using a variety of Irwin hand tools and power tool accessories. There will be between 5-10 challenges per event. Each challenge will produce 1 x winner per event – so a total of maximum 10 winners per event day. Contestants must sign a waiver and release form prior to participation in any Event. There will be a maximum of 75 UTC Events days throughout the UK and Ireland between 01st March 2011 and 31st December 2011. To see a schedule of local events, visit www.challengeirwin.com . Contestants must comply with on-site rules and regulations related to participation in any UTC Event (made a part of these Official Rules by reference).

LOCAL Winner Determination: Each local event will produce between 5-10 challenge winners – 1 x winner per challenge. From each event, 1 of the winners will be selected to compete in the Grand Final in November 2011. The winner per event will be determined by way of a prize draw. One name will be pulled from the 5-10 winners at the end of each event. This winner will be notified and go through to compete for the Grand Prize at the UTC Event final in November. If the prize draw winner, declines the chance to compete in the final, another name will be drawn at random from the remaining event challenge winners list.

The winner of each event challenge will be the contestant who completes the challenge with the best time (i.e., the shortest time) and/or within the parameters of the challenge (as determined by Sponsor in its sole discretion) will be deemed that Local Challenge Prize winner, subject to verification of eligibility and compliance with the terms of these Official Rules. The challenges will consist of a number of designated tasks that are to be completed accurately and within the quickest possible time. The tasks will include measuring, marking, clamping, cutting and drilling multiple materials utilising IRWIN handtools/power tool accessories and UTC Sponsor power tools. Challenge referees / judges will be independent IRWIN Field Product Specialists and will be impartial. The names of judges will be made available on written requests sent to the following address: Irwin Industrial Tool Company Limited Ultimate Tradesman Challenge; Attention MARKETING, Newell Rubbermaid, Halifax Avenue, Fradley Park, Lichfield, Staffs, WS13 8SS.

Grand Prize Winner Determination: All Local Challenge Prize winners will be invited to participate in the Grand Prize Challenge. Local Challenge Prize winners will compete against each other (randomly selected groups of 4) in one of 8 elimination groups over one day, the 8 group winners will then participate in Quarter Finals (best of 3), Semi Finals (best of 3) and a grand Final (best of 5) if successful. The two finalists will participate in the Grand Prize Challenge with the individual who fully completes the Grand Prize Challenge with the best time (i.e., the shortest time) and within the parameters of the challenge (as determined by Sponsor in its sole discretion) will be deemed the Grand Prize winner, subject to verification of eligibility and compliance with the terms of these Official Rules. The final challenge task will remain unseen until 4 weeks before the event upon which finalists will be sent a challenge video and instructions.

WINNER NOTIFICATION: Potential winners will be notified by telephone and/or required to execute and return an affidavit of eligibility and a liability/publicity release within seven (7) calendar days of date of issuance. If such documents are not returned fully-executed within seven (7) calendar days of date sent or if prize notification or prize is returned as undeliverable, Sponsor is unable to contact any winner within a reasonable time period or any potential winner is not in compliance with these Official Rules, or if any potential winner does not wish to advance to next round, the prize will be forfeited in its entirety and, at Sponsor’s discretion, the runner-up for the event at issue may be notified.

PRIZES AND APPROXIMATE RETAIL VALUES (“ARV”): One (1) Grand Prize Package, as follows: (a) a Nissan NV200 SE van customized by Joyce Design (“Vehicle”); (Total Approximate Retail Value (“ARV”) of Grand Prize: £25,000). In addition, the grand prize winner will received £10,000 of IRWIN Tools – based on list price April 2011 – contents of which is to be decided by the Sponsor. Vehicle options will be determined by Sponsor and any additional options, license, insurance, title, registration fees and taxes on the Vehicle are winner’s sole responsibility. Winner must have valid motor vehicle operator’s license and satisfy applicable proof-of-insurance as well as take delivery at a location designated by Sponsor. Maximum thirty-two (32) Local Event Winner Prize Packages: Prize package consists of: £250 worth of IRWIN Tools, invite for winner to participate in the Grand Prize Challenge (scheduled to take place in November 2011 JOBMAN/IRWIN jumper, (Total ARV of each Local Challenge Prize Package £350).

Trip Conditions/Restrictions: Trips include for Local Challenge Prize winners to attend Final Elimination rounds. Round-trip air transportation for two (2) for residents outside of the UK from the major gateway airport nearest winner’s residence and standard hotel accommodations one (1) room, double occupancy for one (1) night accommodation available for all Local Challenge Prize winners attending Grand Final. Actual value may vary depending on city of departure and dates of travel. Any additional accommodation required for Grand Final elimination round(s) at cost of challengers. Travel arrangements must be made through Sponsor’s agent, on a carrier of Sponsor’s choice. Travel must be taken on dates specified by Sponsor. Certain travel restrictions may apply. Winners are solely responsible for all expenses, costs or fees associated with acceptance and/or use of the prize not specified herein as being awarded including, without limitation, any and all taxes, ground transportation, meals, gratuities, and souvenirs. Winner’s travel companion must be of the legal age of majority in his/her state of residence (and at least 18 years of age) and must execute and return a liability/publicity release prior to issuance of travel documents. Winner and guest must travel together on the same itinerary.

General Prize Conditions/Restrictions: Maximum Total ARV of all prizes: £100,000. Travel tickets are subject to terms and conditions specified thereon. Contest locations will be determined by Sponsor. Winners and guests must comply with all rules and regulations. Failure to do so may result in forfeiture of such prize portion. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Sponsor reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion. Where a trip forms part of the prize, winners are responsible for their (and their travel companions) meals, ground transportation, gratuities and all other expenses not specified herein. Sponsor reserves the right to structure travel dates, destinations, routes, and hotel selection at its sole discretion. It is the sole responsibility of each winner and his/her travel companion to obtain all necessary travel documentation including passports and visas, as applicable and to comply with any customs and immigration requirements. The Sponsor is not responsible in the event a trip prize winner or a travel companion is refused entry to the destination city or re-entry to city of residence, for whatever reason, in which event, in addition to any other consequences set out in these rules, any unused portion of the prize will be forfeited. It is recommended that trip prize winners and their travel companion obtain sufficient personal insurance prior to departure.

Prizes are not transferable; no other substitutions or cash alternatives are allowed. All taxes and any other costs, expenses and fees associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners. All prize details are at Sponsor’s sole discretion.

GENERAL CONDITIONS: Except where prohibited, acceptance of a prize constitutes each winner’s consent to Sponsor and its designees’ use of his/her name, likeness, voice and/or biographical data for advertising and promotional purposes in any and all media now or hereafter devised throughout the world without limitation and without additional notice, compensation or consent. By participating, contestant agrees to accept and abide by these Official Rules (including the rules for each UTC Event in which he/she participate) and agrees that any dispute with regard to the conduct of this contest, rule interpretation or award of prize, shall be submitted to Sponsor or UK office of fair trading, whose decision shall be binding and final in all maters. By participating, contestant agrees to release and hold harmless Sponsor, and its parent company, affiliates, subsidiaries, retailers, service agencies, distributors, and advertising and promotion agencies, and all of the officers, directors, employees, agents and representatives of the foregoing (collectively, “Released Parties”) from any injury, loss or damage to person, including death or property due in-whole or in-part, directly or indirectly to the acceptance or use/misuse of a prize (including any travel or activity-related thereto or injury or harm resulting from use of the vehicle), participation in any contest-related activity, or participation in the contest (including any injury or harm resulting from participation in any UTC Event). Released Parties shall not be responsible for mechanical, technical, printing, typographical, human, or other errors or malfunctions relating to or in connection with the contest, including, without limitation, errors or malfunctions which may occur in connection with the administration of the contest, the conducting of any UTC Event, the timing of contestants, the announcement of the prizes, the cancellation or postponement of any event or in any contest-related materials. If for any reason this contest (or any portion thereof) is not capable of running as planned due to tampering, unauthorized intervention, fraud, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this contest (or any portion thereof), Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process (and void his/her entry), and to cancel, terminate, modify or suspend the contest. In the event Sponsor is prevented from awarding the prize or continuing with the contest (or any portion thereof) as contemplated herein by any event, including but not limited to fire, flood, natural or man made epidemic of health or other means, earthquake, explosion, labour dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the contest (or any portion thereof).

Odds of winning depend on the number of eligible participants and the skill of such participants. Sponsor reserves the right to modify or terminate contest for any reasons in its sole discretions, including if conditions arise that compromise its integrity or intended play; in which case, prizes for completed contest rounds will be randomly awarded among the eligible entries received to the date of termination.
